I once had an "S" corporation which is better from a tax perspective than is
a "regular" corporation. I incorporated because a client wanted me to do so
(then RIFed me 6 months later). I spent about $400 for lawyers fees and
state registration fees. I also had substantial accountant costs since
corporate tax forms are very complicated. I dissolved my corporation since
I took a permanent salaried position.
If you like contracting and expect to do it for the long term, then you
probably need either to incorporate or find a good contract agency that has
a 401K plan and medical benefits. I would do the latter to save money and
lots of record-keeping.

I've been working as a 1099 contractor for some time now, but I've noticed
lately that companies are using my services less and less. All of them seem
to want to use Incorporated writers and I was wondering if anyone out there
could give me the pros and cons of such a move.
BTW, does anyone know a good Incorporation lawyer in the SF Bay Area should
I need to move in this direction?
