Depends what language the code is written in. If it's
Java, there is the javadoc tool:

http://java.sun.com/j2se/javadoc/

If it's in C/C++, Java, or IDL, you should check out
the doxyen tool:

http://www.stack.nl/~dimitri/doxygen/

I've heard good things about this tool.
