Lori -

Probably the easiest way is to use Photoshop's "Assistant" (in PS 5). From
the Help menu select "Export Transparent Image". This will launch a
walk-thru helper. It helps to start with your image on a transparnent
background but that is not neccessary. You will be given a choice of whether
this will be used for print or on-line; GIF or PNG (GIF will move you to an
8-bit color reduction screen) - your settings here make or break the image;
then you move on to naming and finalizing the save.

I've got to recommend diffusion dither over pattern and if you can, select
adaptive over web- or system-colors to preserve your image. Note that
selecting Preserve Exact Colors when going for web- or system-colors will
not give you exact results.

Adaptive palette
Diffusion Dither
Best color matching w/ preserve exact colors
