This is one of the reasons your company employs or retains an attorney. To protect yourself, I wouldn't even venture an opinion--just do what the attorney tells you.

Because the answer depends entirely on the terms of the contract.

The attorney probably approves every one of those contracts, and he should know the answer to your question. If he doesn't, it's his job to find out.
