My understanding is that the fear is that the company could be sued by:

A. The hiring company if a good recommendation resulted in the hiring
of an employee who was later discharge for cause. They would argue
that the mis-representation by the former employer caused then to hire
the employee.

B. The former employee looking for employment if a bad recommendation
caused him/her to miss out on the job.

How likely is this? I don't know, but companies are huge risk-avoiders
when there is no potential benefit. Even if the likely hood of a
successful suit may be slim, the risk of having to defend something
like that is all it takes.
